KBOOM!!! It's on! Kboo Board Meeting beginning, all Cadre WILL attend!!!

The KBOO Board meeting is at 6pm on Monday June 24th. Normally held at KBOO, the meeting will be held this month at the Jupiter Hotel at 800 E. Burnside, in the Dream Box room.
Bring a recorder!  Bring a camera!

Alas Glorious Leader claims she will be working, but there should be many more Inner Party shenanigans  worth getting on record!

    The Board has sent review of the corporate Board Policy Manual to committee. They have approved a motion for good faith negotiations with the Staff CWA union. Contributors, come back! However, despite Hadrian's statements above, the AG and FCC are not in attendance.

    We have been sent out as the Board considers "an employee matter." As far as I can tell, the employee in question is the "navigator."

    2. I'm pleased that my idea for a policy workgroup was endorsed by the Board. I managed to amend Board member MP's motion, but the KBOO member who authored the motion seemed pleased with the prospect of us working together on this effort in the workgroup. His aim was to sent it to committee, but the workgroup should work better for all concerned. I look forward to working with this member on engaging more of the membership in KBOO governance. As I said last night, this workgroup is open to an infinity of members - not just those passionate few who show up every once and a while when there is a controversy. Let's see how this play's out. We have two months to come up with a plan.

  3. Dude, what's the deal? I generally refrain from criticisms of "style" rather than of substance in political battles, but your blogsite is just really.....odd. In fact, kinda scary odd, to tell you the truth. I guess here you can be the "insider" (of your very own blog!) and carry on your little campaign in your insulated corner of cyberspace. Meanwhile, there are lots of important issues, difficulties, questions of management, programming, finances, relationships between board, staff, volunteers, listeners, "the community/ies," etc. that some people are actually trying to work through. I just don't really see them being addressed in a productive way here. Good luck with that....

      That SW Conser guy can't run a meeting to save his life, which is why it takes 30 minutes to approve the agenda, 5 minutes to decide whether board candidates should be given 3 minutes total to speak (hello!), and maybe 10-15 minutes to determine how to vote on the appointments.
      Oh yeah, and how about the idea to have closed session 5 minutes after returning from a long break, genius!

    Comrade, you should know that the formal governance structure of an organization has nothing to do with the distribution of actual power - which is always tightly controlled by the Inner Party.

    Perhaps there was an effort to run Traitor Hadrian off the board (a tactic that has been repeatedly successful in the past, when dealing with board dissenters), which failed.

    Also, the board went into executive session to discuss Traitor Fitch - perhaps an effort to fire Fitch failed.

    Not to worry, I'm sure Glorious Leader will soon provide us with all the details (properly sanitized, of course) of the executive session discussions!

    3. I'd guess, based on purest speculation, that the purpose of the board executive session was to fire Fitch, and the anti-Fitch forces failed to come up with the votes to do that.

      It may have occurred to a majority of the board that a continuation of the status quo means that KBOO dies.

      Firing Fitch means that KBOO dies a lot faster - not that Fitch is irreplaceable, but firing Fitch means that there is no hope for reform. What are they going to do, go back to the "workers collective" running things? There's probably almost no money left at this point.

      But if you don't have to votes to fire Fitch, that also means you don't have the votes to do a lot of things to reassert Inner Party control.

      It would explain the puzzling silence from the Official Organs Of Party Propaganda.

      This will be source of embarrassment for the Inner Party as they try to explain to members how, if they are the "silent majority", they were unable to pull this off.

      And if Fitch is allowed to do her damn job, following the strategic plan that predates her, bet is core Inner Party members won't leave voluntarily, regardless of their Anti-Fitchism. They can't afford to and they have no place to go. Is Ani qualified for her job? Could she get another one in the same field? Would anyone let Glorious Leader join their small media collective with her baggage?

      My prediction: the strident labor revolutionary tactics of the Inner Party will slowly be replaced by pleading to be allowed to stay involved.

It's been, what, two years I've been on the Board, and I still can't persuade the agenda makers to follow meeting best practices and put all of the action items first, then discussion items, then information items. It took us, what, 30 minutes someone estimated, to do exactly that last night, with an agenda that should have been structured that way in the beginning.

    Get the Board business done first. Action items are motions back up with committee reports or other documentation. Do business while minds are fresh, not worn out by debates about how to organize the meeting for example. It will never happen. It makes too much sense.

    I did manage to persuade the Board to adopt the practice of summiting the agenda items well in advance, with supporting materials, so Board members can receive and review them ahead of time and come to the meeting ready to do business. Board members can then make informed comments and be prepared with questions. The items are submitted via a form which also identifies the committee that is sponsoring the item. It used to be the unfortunate practice to have the board act as "a committee of the whole" on matters that needed more time and consideration at a committee level. I'm typically the one who moves (and successfully) to send to committee items that haven't first been vetted by committee. Hence, our new policy workgroup.     I had to remind the Board president in the meeting of the usefulness of committees. "We are the policy making body." Well, yes. No one is disputing this (other than some disgruntled members). However, as I told him, the Board has the right to well thought out reports from committees who can devote 2-4 hours discussing and researching just one of the agenda items that then go to the board. The Board needs to make considered decisions, and that is not done by a 10 or 15 minute discussion of complex issues. It seems our expensive consultant lead Board training on this and other matters did not take with some.

    The Board President did not support returning to the old, and with some, illegal policies that put the foundation at risk, but was prepared to dump the Board Policy Manual, saying they were guidelines only (correct), trumped by the by-laws (correct) and the by-laws are sufficient (incorrect). If that were true, why did the former Franken-committee "Personnel / Governance" spend years writing a wad of 70 policies, printed double sided on as many pages, with a two-page index? The oldest appears to be from 1992. Hmmm. that's about "Fiscal Audits" Why do we need a policy like that? An auditor is only going to question unauthorized and wasteful spending...

    The people who should know these things don't, and people who are likely to know less are wanting in on the action of mis-managing KBOOs business.

      Many of the vocal crazies have the idea, or have been given the idea, community/member run radio means they can do anything the want if the convince enough people to agree.
      What is actually means is the community/members using the tools in place for a non-profit corporation.

    2. I used to tell my clients that it was OK to be crazy, just be careful not to get caught. I love having an organization devoted to crazy. For example, some themes from my KRAB programs -- "Ritual Hibachi Music:" a mash up of traditional Japanese music with space age bachelor pad tunes. "Music From Antartica:" the music of an imagined people at the bottom of the world. "Ninety Minutes An Hour:" Philip Glass, Steve Reich and Terry Riley played at 45 rpm (do the math to understand the title). But KRAB needed to follow state law, and regulations from the IRS and FCC. You do not want crazy in the Board room! It's like approaching a traffic cop and inviting him to do it in the road. You save that for the right people, the right place and the right time. Do your show dressed only in fly paper and encourage your listeners to get naked and make love to the speakers. It won't matter. Don't have a Community Advisory Board as required by the FCC and your By-laws? F*ck that nonsense. You risk losing KBOO and will endanger the fly-paper industry!

    3. BTW, I refer to the KRAB Board. Never knew them that I knew of, other than Joan R, still ED of the Jack Straw Foundation. My first board service was in 1988, after I gave up working in the mental health field. I served first on the boards of Cancer Lifeline (helping them take their free counseling service statewide, serving even more family, friends and the workplaces of people with cancer, as well as the patients themselves of course). Next, Harborview Community Mental Health Center (helping them keep patients in the community, housed and provided with treatment). Then the 911 Media Center (the premiere media center in the Pacific NW). Member of a working board (no staff) for a small vocal ensemble and finally. Tahoma Food Systems (helping them maintain their services to provide transport of urban welfare moms to farms to glean -- they kept half and half provided fresh produce to food banks, assisting a grass-roots effort to clean up empty lots of trash and create community gardens -- and in the process helping drive gangs out of the highest crime area of the state, taking inner city kids to the Farmers Market Sundays to sell what they grew in the community gardens, and helping run a Heritage Farm, all while advocating for locally based sustainable agriculture). Not to toot my horn, just to set the record straight.

      In addition, I provided Board training to a group of inner city churches who came together to run food banks and home less shelters, and other small start-up NPOs, as well as doing free assessments of organization's readiness to fundraise and advising them on organizing a fund-raising program (first step -- get a good board). I also trained Board trainers.

      Back to KRAB. 1978 to 1980. Go in for my show. Leave. No involvement in the messy politics -- no awareness of it either. I just wanted to get my crazy on. Took a break from my work and play in Seattle to finish my BA at Evergreen, where I did shows at KAOS. Returned briefly to KRAB in 1982 which was my last year there. I got busy with being a new dad, working on call at 3 hospitals and part-time at a Community Mental Health Center, and going to Grad School, all at once. My Masters thesis was an Action Research / Organization Development Consultation to the NPO Board of a Family Therapy Training Institute. I supervised the work of two other consultants on the project. Had a small private psychotherapy practice. Helped manage fund-raising for GreenPeace Northwest and Nuclear X-Change (providing news of direct action against nuclear weapons in the PNW, nationally and internationally) Worked for NYPIRG, WASHPIRG and ORGPIRG. Grant-writer for A Contemporary Theatre soliciting funding from the Federal, State, County and City governments, as well as grants from private foundations and underwriting from local businesses. Did a stint as an ED of an international organization providing education and practical assistance to people interested in plant-based diets. Now I compose music and get maligned as destroyer of KBOO as a result of advocating for underdog radio that lets all the underdogs in the door, as well as good Governance.

    Quick summary (from my memory, so maybe a bit fuzzy)
    The old minutes were approved,
    The Board was unwilling to say it understands the Board Policy Manual
    The Board did not put the BPM in abeyance, but formed a workgroup (open to members) to bring forward specific policy proposal/changes
    The Board did not officially say it has no position on unionization of staff, so unofficially it has taken no position.
    KBOO will enter into negotiations with the union (which are already scheduled, so in essence underway)
    KBOO will hire a mediator between the board and the executive director (no further explanation was given).
    3 new board members were approved, as Lisa Loving stated, it was a compromise because they didn't all agree on everyone. Then the board ignored the compromise and only selected 2 of the 3. After that they added a 3rd person.
    I think the names of the new members are Mark Sherman (2 year term), Matt? works at SEIU (2 year term), Sue Bartlett (1 year term).
    That was pretty much it.

    6. Here's the motion that failed, pretty much says that the board understands and agrees to something they did together a few months ago. The fact that it needs to be asked is pretty crazy and that it failed more so:

      MOTION: That the Board confirm its understanding and adherence to the Board Policy Manual,
      part 5: Board Structure and Processes.

      BACKGROUND: Based on communications at KBOO Board meetings, via e-mail threads, via social media, etc., some Board members are not following policies outlines in the Board Policy Manual, specifically part 5. I'd like confirmation, in order to refer issues and violations of this part of the policy to the Governance Committee and/or Board.

      Specifically, Board members are to speak with one voice about Board decisions, even if they were dissidents. More importantly (to Paula, who's making the motion) is the part of the policy referring to ensuring the financial solvency of the corporation (i.e. the KBOO Foundation).

      We've a Board-led fundraising goal as part of the budget we approved & we're far from achieving it. We're not doing our part to ensure the financial solvency of the corporation.

    8. As a Board member, the proper time and place for public dissent is in the meeting when the Board makes an unwise decision. You request that the legal record of the Corporation's actions, the meeting minutes, record your dissent. On this measure, I requested the minutes record my dissent about the Board's decision to not affirm the requirement for Board members' duty of loyalty, as called for in state law. That duty of loyalty now requires me to remain silent in public about the Board's decision not to be guided by state law.

      The above comment is for educational purposes only.

    10. The Board Policy Manual speaks to the duty of loyalty (and is in accord with state law). That section of the BPM has come under criticism from Board members unfamiliar with what being a Board member requires, or how to conduct oneself in public when not in agreement. That was the specific situation Paula's motion was addressing, as well as our fiduciary responsibilities. The principled thing to do is resign from the Board if what it is doing is so odious that you can't tolerate it. However, you can work for change from within, without trashing the organization in public.

      The same visitor checked Loving hack post on Facebook(still there btw) and Ani's update. Now they'll probably disappear. Could be one of the 1,000 plus friends checking Loving's weird story(s). but we think it's notable out of state traffic increased after the board meeting.

      We have no obligation to be a media resource center. We have an aspiration to be. I made no comment, ever, about some non-existant obligation to be a media resource center.

      As far as our Strategic plan to develop into a media resource center, I recommended we look into the services provided by Seattle's 911 Media Arts Center (video-production training and video showings) and Jack Straw Productions (audio-production training and the production of radio programming and podcasts). Thats standard practice when doing program planning: look into how other media resource centers operate and how well are they doing. For example, when I was on the Board of 911 Media Arts Center, I visited an independent media arts center in Rochester NY associated a degree granting program at SUNY Brockport. I wondered if 911 might want to explore something similar. (KBOO might want to explore an association with a public technical school which would allow students to get credit for their training and production work with us).

      Back to the transmitter issue. We need funding to carry out the strategic plan to become a media resource center. I mentioned that the Jack Straw Memorial Foundation made the transition to a media resource center thanks to funds provided by the transfer of their highly-coveted commercial FM frequency to another broadcaster, but that was neither desirable nor an option for KBOO. Our by-laws state, "This corporation's primary purpose shall be the promotion and operation of a listener-supported, noncommercial, community radio broadcasting station." Even if members decided to change that by-law (and I would oppose such a change), how much could we get for a non-commercial frequency?

      In any case, as Board members, we can and should discuss all kinds of options and take note of various possibilities. Doing so does not endorse or advocate taking those actions. However, KBOO not doing broadcast radio is not an option. I tend not to discuss impossibilities. Having the Board operate as it should? We are all allowed to dream at least one seemingly impossible dream.

    Um would someone please tell TM the following, the transmitter comments were in the context of "who get's to play with the transmitter" in reference to who controls content, an oblique reference to the hysteria when John Mackey was fired and people in a panic went to the tower and randomly unplugged things thinking he would remote control sabotage the station transmitter link, and a thinly veiled sophomoric reference to the tower being phallic (figure that one out any way you like).

    Get over it, it's technically true that there is no legal "obligation" for the foundation to have a fm transmitter, in fact the foundation can do any legal action that a non-profit corp can do in the State of Oregon but is not obligated to actually do anything (boilerplate stuff for any not for profit corp). For anyone on the board to explain technical legal stuff does not imply they want to get rid of the FM signal.

    If TM now is parading this crap as the new hysteria, trying to frame Hadrian and Paula in some twisted way as "wanting KBOO off the air" then they should be ashamed of themselves.
