KBOO BORED MEETING AT SEIU AUG 6th!

Where observing members were literally out numbered by cleaning staff!

In our completely non influential blog which none of the 15,000 plus visitors are paying attention to, we will continue to "smear" Inner Party Members, that is, say perfectly true things about their antics they find really, really embarrassing, at least when we get around to transcribing this shit.  (Iron Man 3 is still playing, you know!  We have to watch it at least 5 times! Each!)

Board members in attendance who could use a map and compass were reported to be:

Mark Sherman, Sue Bartlett, Rabia Yeaman, Matthew Bristow , Jeff Kipilman, Timmy Welp and Adin Rogovin 

We'd like to point out, Jeffery, much like Conser's honey, has failed to update his email contact on the website.   But he's a step ahead of Adin Rogovin who isn't even listed yet.  We expect Comrade Sherman will have some sharp words for these scofflaws!


Audio was crap  better than nothing once the tech whisperers beat it into shape.  Interesting to note a rumor that Tom Hood has a better copy and apparently refuses to share it with anyone or even have it uploaded to KBOO. 

[Of course KBOO should be recording and uploading their own damn audios, since that's what they're telling membership they're doing.  But there we go expecting "corporate" values of competence again!]

A few days ago I heard Tom Hood (the new KBOO engineer) talking about how he was burning incense in engineering and mounted a lava lamp in engineering to drive away evil gremlins, and now it is a changed place. Yet he can't handle the serious engineering problems such as their failed STL, repeatedly failing web streaming, and virus/malware on the web page!
Doh!  We didn't use incense during audio processing!  What were we thinking!

The KBOO sound quality has become worse daily since John Mackey left. Current engineer Tom "Hollywood" Hood is completely incompetent as an engineer. The recent problems with the KBOO air signal, streaming signal, and virus propagating web page are the simple proof; all started long after Mackey left and have not been fixed.

The Sad State of KBOO

August 6th, 2013
 (I had planned to release this earlier but the collapse of the kboo.fm website delayed my ability to post.)
 When application packets for the Board Of Directors were made available, it was a different KBOO.  KBOO last May had a divided board and an embattled but still working Executive Director.  At that time, I saw that with election of four new board members there was a chance of saving the Strategic Plan.  Careful negotiations with the unionized staff could create a better Employee Procedures Manual and a solid, reasonable union contract.  Allowing Lynn Fitch to continue her management, fundraising and outreach to more communities might have worked to stabilize the finances and bring new life and energy to the radio station.  
 In the short time since last May, many directors have left and through skillful manipulation been replaced by members loyal to the views of staff and the Keep KBOO as KBOO movement (KKK).  This activist board has removed the Executive Director from any management role and put the new board policies aside, essentially stopping implementation of the Strategic Plan it it’s tracks.  Now it’s a different ballgame and the combined effect of actions taken at the most recent board meetings make the upcoming elections moot.
 While KBOO needs a lot of help to change and grow, elections that can only seat four new directors have no chance of making any difference.  No dissident directors have terms of office that extend beyond the election.  The eight directors who will remain have shown total indifference to the input of directors in opposition.  Board members who disagree have quit the board to protect themselves from liability, or have been kicked off the board for speaking honestly to membership and the press.  In this moment not only do I feel that I would have no effective voice, but if I were to win and accept a seat on the board I would be complicit in actions that at the very least are improper, and potentially I’d be exposed to civil and criminal liability.  
 So today I object to the following:
 I object to the harassment of, defamation of, and removal of management authority from Lynn Fitch.  It’s rumored the board was asked in closed session for arbitration, not mediation.  Arbitration is a last ditch effort to come to an agreement before filing a lawsuit.  So far as I know not even the agreed on mediation has occurred.  
 I object to the board taking upon itself all management duties after taking them away from the Executive Director.  In very short order emergent situations of administration of bank accounts, crashing website, looming FCC license renewal, election management, and union negotiations have been handled poorly, if at all.  In fact board members at the end of the July 29th meeting spoke briefly about hiring a temporary ED to help them in the current workload.  It’s fiscally and organizationally incompetent to hire someone new to manage the station during all these emergent situations, while telling the existing, experienced manager who is still drawing a salary not to do her work.  I’ve watched this board schedule emergency meeting after emergency meeting to attempt to deal with the aftermath of their ill considered actions.  I was willing to serve on the board of directors, not to be a substitute manager for the corporation.  Clearly the burden of time now expected for serving on this board is unreasonable, and the emergencies present today did not need to occur.
 I object to the board relying on FMLA rules that don’t appear to apply to KBOO to silence ED Lynn Fitch from giving the board critical information relevant to an agenda item, then allowing staff member Ani Haines to interject her opinions at will during board deliberations at the same meeting.  Clearly the board welcomes some staff acting as if they have a seat on the board, but will go to any lengths to block input and advice from other staff.  
 I object to the board of directors refusing to look at relevant documents to an agenda item, then voting to affirm that the actions related to these documents was correct in every way.
 I object to the continuing cover up of what the real issue is regarding the firing of former engineer John Mackey.  It’s not hard from what’s in public record to reconstruct the sequence of events.  Conflict with other staff.  Eventual firing of Mackey during the time of the staff collective.  Threat of lawsuit over the firing.  Mackey being banned from the building, then running for the board and eventually winning a seat on the board.  Board President S.W. Conser (very close friend of staff especially Ani Haines) making an unauthorized request for confidential employee files from Sussman Shanks L.L.C. while the ED Lynn Fitch is out of the country.  Newly seated board member Mackey attempting to get agenda items on the agenda and failing, then mentioning in open session a potential issue with the FCC re the EAS system.  Next day the FCC visits KBOO and writes up a violation.  Next board meeting Mackey is removed as a director for actions "harmful to the corporation".
 I’ve looked and see no record that the FCC visit produced any more serious consequences than a warning form letter to do better record keeping.  So Mackey’s actions don’t seem to have generated any fines or serious liability, hardly an action harmful to the corporation that merits his removal.  I’d like to know the real reason why Mackey was silenced.  It clearly has to do with how the staff collective handled confidential employee matters and related documents during the time of the staff collective management.  Screw the $1500.  Who is being protected by this cover-up, and why?
 I object to the negotiations with the new staff union being handled by a board member who is a staff organizer for another powerful union.  Even if there is no intent to give the staff an unfair negotiating advantage, it’s critical for the negotiations after this much open conflict to be absolutely above board and have no appearance of corruption.  Would the staff agree to have management represent them in negotiations?  Of course not.  So why should the 5500 members of KBOO who are the employers agree to have their interests protected by a union man?  This is a no brainier, Timothy Welp needs to remove himself from the negotiating team.
 I object to the entire way the election process has been handled by the board.  No list of candidates was made public despite repeated requests by dissident candidates like myself.  At the same time, a meeting of the group KKK invited those candidates it wanted to vet to a private meeting and clearly had a list of all the candidates although this information was not made available to those KKK did not want to support.  So preferential treatment has already occurred in the election process even before ballots have been mailed.  This is called election fraud, who knows what else has occurred behind closed doors?
 I object to the lack of information given to board candidates.  As a board candidate I was never formally informed of the election date, and only asked to participate in a on air forum at a specific time only with two weeks notice, during a time I have other obligations.  I immediately responded with an objection to the timing and asked for an opportunity for a pre-recorded interview for air at the proposed time.  There was never any answer to my request.  I only found out the election date itself by attending a four hour board meeting in July, and hearing it mentioned in passing although I had asked repeatedly for this date for many weeks.  Then I was told this date was set way back in March.  The election packet was created in May, and distributed in June.  Is it too much trouble to inform candidates of the details of the election process when they apply to be candidates?
 I object to the continual distorted governance at KBOO that makes the Board Of Directors responsive to the directives of the staff, rather than the other way around.
 It’s sad to say, but at this time I don’t see any possibility of KBOO Community Radio avoiding lawsuits, investigation for possible election fraud, and due to the continuing deficit spending eventual bankruptcy.  
 The only way the elections in September could have any meaningful results other than to affirm the current policy of cover-up, cronyism, and incompetence would be if the entire board were to put themselves up for re-election at this same meeting.  I have no delusions that the current board would agree to this.  If a way can be found to force the regular annual meeting to become also a special membership meeting and have board member removal on the agenda, then there might be a chance for change at KBOO.  
 There might be a surprise development from outside forces intervening due to lawsuit or action by the Oregon Attorney General.  But I don’t see much chance of this affecting the election next month.
 Barring such developments, I don’t see much point in continuing to campaign for a seat on the Board of Directors of the KBOO Foundation.

Dear Beverly & Crew:

I am Theresa Mtichell, public affairs volunteer broadcaster at KBOO Community Radio in Portland, OR. I noticed earlier today that Oregon is one of the few States that has yet to report more than 90% of its precincts. It would appear that 150,000 ballots, which would easily decide the Smith/Merkly Senate race in favor of (D) Merkly, have yet to be counted at the crucial Multnoma (liberal Portland) County elections division.

I called Multnomah County Elections at 2:05 PM to ask what had caused the delay in counting approximately 150,000 ballots.

I first talked to someone named Kathy, who could not give me her last name. When I asked more specifically what was delaying the counting of the ballots, she said "we're counting them."

"Counting them by hand?" I asked

She then transferred me to Eric Sample's (County supervisor's) voice mail.

I then called again immediately, and got a male voice. I identified myself as "Theresa Mitchell, KBOO Public Affairs" (forgive me). I asked why there was a delay in counting 150,000 ballots.

"Water got in the basement," he said.

"Water got on 150,000 ballots?"

He then transferred me without comment to Eric Sample's voice mail.

This station uses ES&S and has a few Diebold screens for handicap usage.

Frankly, I do not feel the procedure is going legitimately.

Update on Willamette Week Coverage of Glorious Radio Worker's Struggle!

And now, some of the rest of the story as of Aug 5th.
Hadrian Micciche was removed from the board for bringing this information to WWeek. Apparently open media is a value at KBOO except when the story is about KBOO.
The elections for this fall have been rife with conflict and accusations of preferential treatment of candidates favorable to the interests of the staff. An election date of September 14th was set back in March, but no one on staff or the nominating committee thought the election date was worth telling to the candidates. Repeated requests by filed candidates for information about the upcoming election process have been ignored until just last week. A board member had already sent an email with a list of prefered candidates to friends, before KBOO as an institution disclosed publicly who any of the candidates were.
The KBOO website has been down for over 36 hours.
The KBOO board has been searching for a replacement employment law firm, but each firm contacted by a board member as of the July 29th meeting has recommended KBOO try someone else.
The board of directors removed all management authority from Lynn Fitch during a meeting in July, and decided they would manage the station themselves along with the staff. After a few weeks of trying this plan the board briefly discussed they might need to hire an interim manager. Lynn Fitch is now on leave.
The board of directors voted to affirm that the Board President's actions obtaining confidential employee records from KBOO's attorney without prior authorization from the board or the executive director was Ok. They voted to affirm his actions after refusing to look at the actual documents in question which were available in either full version or with names redacted. They refused to discuss the details of the issue in closed session and voted to affirm that the actions taken were proper.
A union organizer who is on the board will represent the employer in the delayed negotiations with the union. This person publicly stated that he doesn't think the negotiations will take a long time, as the parties are essentially in agreement. He also opined that there isn't an urgent need for KBOO to have a law firm represent KBOO in these negotiations.

EXCUSE us, but the website is NOT down.  Anymore.   Probably.

Then, only a few hours ago, Kraus returns to post more EVIL LIES:

The KBOO board member who says he will represent KBOO management during the union negotiations is a staff member at SEIU Local 503. He even managed to move the next board meeting of KBOO to the union hall. Can you say conflict of interest?
I sure hope WWeek intends to dig deeper into the story at KBOO. Portland needs a healthy, well run community radio station. The current reality of the staff running the board of directors instead of the other way round will end in lawsuits and bankruptcy.

Except for all those people pointing out how wrong we were, we've never had a problem! And where are they now, huh?   Are they at KBOO?  NO. No, they couldn't hold their Kool-Aid.

What does that make them?

Losers who can only make it in a left progressive culture outside of KBOO that values competence, fiscal stability and relevance to the community.

Who needs them?  GOOD RIDDANCE.

Oregon's largest union grapples with messy lawsuit from former president

Oregon's largest union, which represents thousands of state workers and is one of the state's most powerful political forces, is embroiled in a messy legal dispute with one of its former leaders over how the organization should be governed.
A Salem judge has ruled that Local 503 of the Service Employees International Union has violated the state's nonprofit laws by failing to hold annual membership meetings, withholding certain records from members and improperly trying to change its corporate structure.

Boy does that sound familiar! We'll be watching this breaking story and hoping it will sorta go away and everyone will forget A SEIU STAFF MEMBER IS INVOLVED WITH ANOTHER NON PROFIT DOING THE SAME SLEAZY THINGS.  Let's just all forget that.

For no good reason anyone can figure, kboo.fm has been down since at least Saturday evening with this generic Drupal error message:

Board election approaches

Here is part of an email from Board member Mark Sherman:

Greeting KBOO friends,
It has been too long since I have sent out an email. Sorry. I would like to review some of the issues raised at Tabor Space and comment on where KBOO is today. Significant progress has been made in the last 3 months. The highlights include:
  1. The board has formed a negotiating team to work collaboratively and in good faith with the staff to address their concerns in the context of union negotiations.
  2. Remember the top down, corporate styled, board policy manual? It is now being modified by a new work group. The board has suspended the board policy manual until the update effort is completed.
  3. KBOO members can now contact the board directly through the board web page. This was one of my biggest concerns. The board should be responsive and accessible to its members.
  4. Members can now join the governance committee. This is not a big gain. However, the development committee, which has been dormant for too long shall begin meeting again beginning Monday, Aug 5 at 6:00 at KBOO. This will prove to be a critically important committee in the near future.  We need your ideas.
  5. I don’t think you have to worry about KBOO making significant changes to programming without input from the membership. Consider joining the programming committee.
Most of our initial concerns have been or are being addressed. You are the reason for this success. Your attendance at board meetings, your participation in committees, your organizing efforts, your lobbying the board, and your continued support of KBOO made these changes possible. 
The next KBOO election is critical. Please ensure your membership is up to date and you are eligible to vote. If your membership has recently lapsed, when you renew, be sure to pick up a ballot at KBOO. Thanks for being KBOO members! KBOO belongs to all of us.

The Bored, er, Board vs Evil Fitch: ITEM #12

Gawd, shoot us it the head.  ITEM #12 takes almost 20 minutes to not resolve.  Fitch is sent packing and, added bonus, any observers have been put to sleep, thus protecting the Inner Parties secrets from getting out.  And gives our Elite Cadre a golden opportunity for some ace subliminal propaganda practice!

I saw that on the agenda , I thought I should make comment. If you don't want that comment now and you'd like to hear that at the Sept board meeting, happy to do that.

-My response to that is that's a separate issues, Michael.  Take one issue at a time.  I'm trying to clarify the legal situation we're in.  We're in a delicate situation, and I think it would be inappropriate  and wrong for us to proceed with you as an employ in medical leave, yet engage you as an employee.  So I'm asking you to clarify" are you here as a member to comment at random?  or are you hear as the station navigator? Which if you are I need to share that I think it's completely inappropriate and we need to disengage.

So uh with with that in mind, I want to get a sense of the room , uh, is is is there further discussion on this issue? Is there anything in the bylaws or ORS that contradict what Tim says?

I mean  the problem with this issue is that the board president is being dragged through the mud(Becky Chiao anyone?), all kinds of ways, but because so much of this case is about executive session, he can't even really defend himself. I mean, he's caught in a perfect catch 22, That's the problem with this case. So if there's documents about it, I like them to be filed with someone...though now I understand he would be able to do that, until Sept 9th.

1.      What’s happening at KBOO? (see attachments)
a.       Gene, Theresa, and Bill outlined changes in board policy, revealed at the January meeting, changing from “just cause” to “at will” employment of staff; cutting staff benefits; changing from staff collective to a new Executive Director with direction to change staff assignments and layoff/ fire some staff.  Reasons given for staff shake-up – a financial crisis (manufactured), “too confrontational” programming, and inefficiencies.
b.      The staff, by 80%, presented cards asking for union recognition.  The E.D. and Board have hired legal assistance to push back, refusing recognition & forcing a National Labor Relations Board election, contesting the bargaining unit size and, according to Joe (CWA union organizer), committing numerous Unfair Labor Practices in the process (policies must freeze when cards are presented – the Board & E.D. threatened lay-offs, changed assignments and pled bankruptcy, ie. ULPs)
c.       Many at our meeting expressed not only dismay with the way staff are being treated, but the disappearance of transparency and democratic participation in KBOO governance plus the reliance on corporate advisors for policy changes.
2.      What is to be done?
a.       We agreed to mobilize for the May 4th Special Membership Meeting (1pm, Tabor Place, 5441 SE Belmont (at 55th), to turnout as many members and non-members (it’s not an “official” members only meeting; rather a forum).  The Executive Director, Lynn Fitch, is expected to present her vision for  “KBOO 2.0 -- The Regeneration”.  We expect to pass out a flyer with our explanation of events and their consequences.  We also expect to have sign-up sheets (outside and inside) for people interested in keeping in touch with the Committee to Keep KBOO as KBOO.
b.      We agreed to distribute the flyer, with a call to come to the May 4th meeting, at May Day and other progressive events, by email, facebook and other methods.  We could call in to the morning talk shows with info about the May 4th   meeting, expressing our concerns and encouraging listeners to come.
c.       We agreed to communicate with the Board the costs of fighting the staff unionization and the undemocratic, opaque decision-making – loss of members, loss of listeners.
d.      We agreed to recruit candidates for three Board positions coming up for election in September (apply by July), including one to be appointed by the Board to fill a current vacancy (contact Marc Brown, board secretary if interested)
3.      Tasks
a.       Theresa, Bill and Gene agreed to put together a fact sheet (two-sided?) which could be passed out at the May 4th meeting as well as a one paper summary which could be on one side of a flyer calling people at May Day to come to May 4th.
b.      Jamie agreed to print the flyer & fact sheet
c.       Paul agreed to put together sign-up sheets and clipboards for the May 4th meeting (and May Day?)
d.      Joe said the union will be in touch with other unions and Jobs with Justice for support in the organizing/ bargaining effort
4.      Next meeting
a.       Friday, May 10th 6pm, same location – home of Bill Resnick, 1615 SE 35th pl. (s. of Hawthorne)
